1. Acceptance of Terms

By accessing or using QRFoundry ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service. We reserve the right to modify these Terms at any time, and such modifications will be effective immediately upon posting. Your continued use of the Service constitutes acceptance of any modified Terms.

2. Description of Service

QRFoundry provides a QR code generation platform that allows users to create, manage, and optionally track analytics for QR codes. The Service includes both free and paid subscription tiers with varying features. We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time without prior notice.

3. User Accounts

To access certain features, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration.
• Maintain and promptly update your account information.
• Keep your password secure and confidential.
• Accept responsibility for all activities that occur under your account.
• Notify us immediately of any unauthorized use of your account.

We reserve the right to suspend or terminate accounts that violate these Terms or for any other reason at our sole discretion.

4. Acceptable Use

You agree not to use the Service to:

• Violate any applicable laws, regulations, or third-party rights.
• Distribute malware, viruses, or any harmful code.
• Create QR codes that link to illegal, harmful, fraudulent, or deceptive content.
• Engage in phishing, scamming, or any form of fraud.
• Distribute spam, unsolicited communications, or misleading content.
• Infringe upon intellectual property rights of others.
• Attempt to gain unauthorized access to our systems or other users' accounts.
• Interfere with or disrupt the Service or servers connected to the Service.
• Use the Service for any illegal or unauthorized purpose.
• Resell, duplicate, or exploit any portion of the Service without express permission.

We reserve the right to remove any QR codes or content that violates these Terms and to terminate accounts of repeat offenders.

5. Intellectual Property

The Service, including its original content, features, and functionality, is owned by QRFoundry and is protected by international copyright, trademark, and other intellectual property laws. Our trademarks and trade dress may not be used without our prior written consent.

You retain ownership of any content you submit to the Service. By submitting content, you grant us a non-exclusive, worldwide, royalty-free license to use, store, and display such content solely for the purpose of providing the Service.

6. Payment Terms

For paid subscription services:

• Billing: Subscriptions are billed in advance on a recurring basis (monthly or as specified). You authorize us to charge your payment method for all applicable fees.
• Price Changes: We may change subscription prices with reasonable notice. Continued use after price changes constitutes acceptance.
• Refunds: Subscription fees are generally non-refundable except as required by law or at our sole discretion.
• Cancellation: You may cancel your subscription at any time. Access continues until the end of the current billing period.
• Failed Payments: If payment fails, we may suspend access until payment is received.

All payments are processed securely through Stripe. We do not store your complete payment card information.

7. QR Code Analytics

For users with analytics-enabled QR codes, we collect data about scans including approximate location, device information, and timestamps. This data is provided "as is" and we do not guarantee its accuracy or completeness. Analytics data is subject to our Privacy Policy. You are responsible for ensuring your use of analytics data complies with applicable privacy laws and regulations.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

We do not warrant that: (a) the Service will function uninterrupted, secure, or available at any particular time or location; (b) any errors or defects will be corrected; (c) the Service is free of viruses or other harmful components; or (d) the results of using the Service will meet your requirements.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL QRGEN, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your access to or use of (or inability to access or use) the Service;
• Any conduct or content of any third party on the Service;
• Any content obtained from the Service;
• Unauthorized access, use, or alteration of your transmissions or content;
• QR codes failing to function as expected or linking to unintended destinations;
• Loss of data or analytics information.

Our total liability for any claims arising from or related to the Service shall not exceed the amount you paid us, if any, in the twelve (12) months preceding the claim.

10. Indemnification

You agree to defend, indemnify, and hold harmless QRFoundry and its officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Service, including but not limited to the content of your QR codes and any data collected through your use of analytics features.

11. Third-Party Links and Services

The Service may contain links to third-party websites or services that are not owned or controlled by QRFoundry. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services. You acknowledge and agree that we shall not be responsible or liable for any damage or loss caused by your use of any such third-party content, goods, or services.

12. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms. Upon termination, your right to use the Service will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the courts located within the United States, and you consent to personal jurisdiction in such courts.

14. Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.

15. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and QRFoundry regarding the Service and supersede all prior agreements, understandings, and communications, whether written or oral.
